With effect from January 15, 2025, Edward Okaro was named an independent non-executive director of the top telecoms company in Kenya.
Okaro joined James Ludlow, John Kipngetich Mosonik, Winnie Ouko, Raisibe Morathi, Murielle Lorilloux, and Mohamed Shameel Aziz Joosub as members.
In the fiscal year that concluded in March 2025, Safaricom's top executives and non-executive officers made a fortune.
According to the company's annual report, they took home a combined KSh 511.4 million.
How are Safaricom directors remunerated?
- The annual directors' fee paid to the chairman of the board is KSh 8.5 million per year.
- Each non-executive director receives KSh 3 million per annum.
- The sitting allowance payable to the chairman of the board is KShs 230,000 per meeting.
- The sitting allowance payable to the chair of a committee is KSh 125,000 per meeting.
- The sitting allowance payable to each non-executive director is KSh 110,000 per meeting.
- The board members are also entitled to telephone and internet usage allowance.
"The current remuneration structure is based on a survey commissioned by the board through its Board Nominations and Remuneration Committee and carried out by PricewaterhouseCoopers (PwC)," the telco explained.

The highest-paid director of the telecommunications company was Peter Ndegwa, the chief executive officer (CEO).

Ndegwa received KSh 294.2 million in total compensation for the year ending March 2025, a 17% increase from the year before.
The pay included a bonus of KSh 116.7 million, a salary of KSh 98.7 million, KSh 45.3 million under Safaricom's Employee Performance Share Award Plan (EPSAP), and KSh 33.5 million in non-cash benefits.

Safaricom's net profit increased significantly for the fiscal year that concluded on March 30, 2025.
The company's earnings after tax increased by 7.3% to KSh 45.8 billion from KSh 42.6 billion in the fiscal year 2023/2024.
Safaricom's CEO Ndegwa attributed the performance to digitisation and innovation.
